Welcome to AcneTRAC! This website, www.AcneTRAC.com (the "Website"), is intended to provide information for individuals looking for a local participating AcneTRAC Provider to monitor and treat their acne. We know that young people are especially susceptible to acne and this Website is intended to help teens, young adults, and their parents with a local participating dermatologist that offers AcneTRAC. We encourage young people to enlist the help and support of their parents in making these choices; therefore, if you are a minor using this Website, make sure you have your parent's or legal guardian's permission to do so. This Website is provided to you, and if you are a minor, also to your parents or legal guardians (collectively, "you" or "your"), under these "Terms of Use" and any amendments or supplements to them (collectively referred to as this "Agreement") that may be posted by Direct Response Medicine LLC ("DRM", "we", "us") from time to time. Your use of this Website, including informational materials or any other services provided through the Website, shall be deemed to constitute your consent to be bound by the terms and conditions of the Agreement and shall be enforceable in the same way as if you had signed the Agreement. If you are not willing to accept the terms and conditions in the Agreement, we ask that you not access or use the Website or post or submit any materials on it.

AcneTRAC Subscription Benefits:

AcneTRAC is a teledermatology application authorized by your local participating dermatologist. AcneTRAC is exclusively available through your local participating dermatologist. By subscribing through your local participating dermatologist, you will receive the following benefits and services:

With the purchase of your AcneTRAC subscription you will receive a photo kit: one (1) poster board 36" tall x 48" wide black poster board. If you damage or lose the poster board, you are responsible to replace it at your own cost.

You will be entitled to forward one (1) acne journal per month for a treatment plan and prescription as needed. Depending on when you initiated your AcneTRAC subscription, your credit card will be billed: $29.95 each month you remain on the subscription plan. You will have to contact us at http://www.AcneTRAC.com/customersupport.html to cancel your subscription.

You will be able to journal your acne using AcneTRAC whenever you want to. If you feel the need to journal your acne more than once a month, your treatment and prescription may need to be changed by your dermatologist.

PayPal(R) Merchant Services (payment gateway) will use the information you provide to process your AcneTRAC subscription (including disclosing your name and address, and other personal information); to contact you about the status of your subscription; maintain your account so that you do not need to re-enter the information for each encounter with your dermatologist; and as otherwise indicated by our site's Privacy Policy.

Offer, Payment and Billing Terms and Conditions

A. TERM AND AUTOMATIC RENEWAL:

The subscription will automatically renew every month. You are financially responsible for the monthly subscription fee until notice of cancellation is received by DRM. Subscriptions can be managed by calling or logging on to www.AcneTRAC.com.

B. CANCELLATION POLICY:

You may cancel your AcneTRAC Subscription at any time after your initial registration. To cancel, you must call our Customer Service Department or cancel online before the expiration of your then-current membership term to enable us to process your cancellation request. If we receive your cancellation request after such time, we shall charge you for the next membership term. Cancel Members reactivating will be placed on the same payment plan as initial sign up plus a reactivation fee of $29.95.

C. AUTOMATIC RENEWAL TERMS:

BY SUBSCRIBING TO THE SERVICE, YOU AUTHORIZE AcneTRAC TO CHARGE YOUR CREDIT CARD AFTER THE INITIAL MEMBERSHIP TERM ENDS THE THEN-CURRENT RATE FOR THE AcneTRAC SUBSCRIPTION. THE SUBSCRIPTION WILL FIRST RENEW ON THE DAY AFTER THE INITIAL MEMBERSHIP TERM ENDS, AND RENEW ON THE SAME DATE 30 OR 90 DAYS THEREAFTER (DEPENDING ON THE SUBSCRIPTION OPTION YOU CHOOSE) UNTIL CANCELLED. YOU MAY CANCEL YOUR MEMBERSHIP AT ANY TIME IN ACCORDANCE WITH THE CANCELLATION POLICY ABOVE. THERE IS NO MINIMUM NUMBER OF MONTHS OR YEARS FOR WHICH YOU MUST CONTINUE YOUR MEMBERSHIP.

YOUR SAME CREDIT CARD THAT YOU USED TO INITIALLY JOIN AND ORDER PRODUCTS WILL BE AUTOMATICALLY CHARGED FOR AS LONG AS YOU RETAIN YOUR MEMBERSHIP. AT ANY TIME, YOU MAY CHANGE YOUR PAYMENT METHOD BY ACCESSING YOUR ACCOUNT PROFILE HERE EXCEPT WHERE REQUIRED BY LAW, YOU AGREE THAT AcneTRAC IS NOT OBLIGATED TO SEND YOU ANY RENEWAL OR ADVANCE BILLING NOTICES INDICATING THAT YOUR CREDIT CARD WILL BE OR HAS BEEN CHARGED.

D. PAYMENT AND BILLING POLICIES:

YOU AGREE TO NOTIFY AcneTRAC IMMEDIATELY USING THE CUSTOMER SERVICE FORM, IF YOU DISCOVER THAT THE CARD NUMBER YOU PROVIDED TO AcneTRAC WHEN YOU REGISTERED FOR YOUR SUBSCRIPTION CHANGES.

In addition to the AcneTRAC Subscription, certain products or additional services may be offered for sale on the Website. In the event you wish to purchase or to subscribe for any goods or services of any kind, you will be asked by AcneTRAC to supply certain information, including without limitation, your full name, address, telephone number and credit card information. You agree to provide AcneTRAC with the foregoing information as well as any other mandatory information that is accurate, complete and current, and to comply with the terms and conditions of any agreement that you may enter into governing your purchases on the Website.

AcneTRAC reserves the right to change the amount of, or basis for determining, any fees or charges, and to institute new fees, charges or terms effective upon at least [30] days' written notice to members. All charges are billed in U.S. Dollars. Your card will be charged upon subscribing or when products are shipped.

Your right to use AcneTRAC is conditional upon receipt of payment. If payment cannot be charged to your credit card or if a charge is refunded for any reason, including chargeback, we reserve the right to immediately and without notice, either suspend or terminate your access and account. You are required to pay any amounts still owed to us at the time your account is suspended or terminated.

Ownership

The Website is owned by DRM. All right, title, and interest to the content displayed on the Website (excluding Subscriber Content, as defined below), including but not limited to the Website's look and feel, data, information, text, graphics, images, sound or video materials, designs, trademarks, service marks, trade names, and URL, are the property of DRM or its partners, agents or third parties.

Modifications to the Agreement

DRM may make changes to the Agreement from time to time in its sole discretion, by updating this posting on this Website, and specifying the effective date of the new version of the Agreement. Each time changes are made to the Agreement, notice of these changes will be posted on the home page. The "Last Modified" date at the top of these Terms of Use will indicate when the latest changes were made. Your continued use of the Website, including but not limited to AcneTRAC, following the posting of a new version of the Agreement constitutes your acceptance of any such changes. Accordingly, whenever you visit this Website, you should check to see if a new version of the Agreement has been posted.

Website Intended Audience

This Website is intended for and directed to teenagers and adults in the United States only. This Website is not intended for any children under the age of 13.

Privacy

The information that we obtain through your use of the Website, whether through the registration process or otherwise, is subject to our Privacy Policy and Legal Notice. That Privacy Policy addresses our collection and use of the data you provide to us, including your rights relative to that information. Please review the Privacy Policy before you use the Website. If you are unwilling to accept the terms and conditions of the Privacy Policy, we ask that you not use the Website or post or submit any materials on it.

Electronic Communications

The information communicated on the Website constitutes an electronic communication. When you communicate with us through the Website or via other forms of electronic media, such as e-mail, you are communicating with us electronically. You agree to comply with all applicable local laws regarding your use of the Website, including, without limitation, laws regarding import/export of technical data by virtue of your online transmission.

Subscriber Content Guidelines

The Guidelines: DRM has created software AcneTRAC for subscribers to upload and share their medical history, comments, pictures, audio messages and the like with their local participating dermatologist ("AcneTRAC Provider"). To help ensure that the text, graphics, sound, photographs, videos, messages, data, information, or other materials provided by subscribers ("Subscriber Content") is kept confidential between the dermatologist and their patients. DRM has established some basic rules for everyone to follow in the form of these Subscriber Content guidelines (the "Guidelines").

DRM does not employ dermatologists for their services in responding to AcneTRAC Subscribers, the medical treatments and prescriptions are confidential communications between the local participating dermatologist and their patients. DRM provides the dermatologist and their patients' access to AcneTRAC clinical data. DRM is not providing individual medical, therapeutic or other healthcare advice. The advice provided on www.AcneTRAC.com does not constitute, and is not a substitute for, medical advice tailored to your specific needs and condition.

Subscriber Content Restrictions: Subscriber Content must be appropriate. Without limiting the reasons for which Subscriber Content may be rejected by DRM, DRM may reject any Subscriber Content that:

1. is unlawful, harassing, defamatory, abusive, hateful, threatening, obscene, harmful, tortious, libelous, or invasive of another's privacy;
2. attacks the character or damages the reputation of the dermatologist, name-calls, insults, ridicules, mocks, electronically stalks or otherwise harasses the dermatologist;
3. contains material or language that is profane, pornographic, sexually graphic, ethnically offensive, "off color", political, or propaganda;
4. contains crude, vulgar or offensive images;
5. discloses or references any personally identifiable information belonging to a third party;
6. depicts or describes any activities that would violate the personal privacy rights of others, including but not limited to collecting and distributing information about others without their permission;
7. impersonates any person or entity; falsely states or otherwise misrepresents an affiliation with any person or entity; intentionally omits, deletes, forges, or misrepresents transmission information, including headers, return mailing, and Internet protocol addresses; or otherwise manipulates identifiers to disguise the origin of any User Content transmitted to the Forum;
8. contains any worms, viruses, or other harmful, disruptive, or destructive files, code, or programs;
9. interferes with, disrupts, or harms in any way the Website, servers or networks connected to the Website;
10. uses the Website for any illegal purpose, or violates any applicable local, state, national, foreign or international law or regulation, intentionally or unintentionally;
11. uploads photos or information on behalf of another subscriber;
12. DRM otherwise determines to be inappropriate for the Website or inconsistent with DRM's image and reputation.

By submitting Subscriber Content, you agree that you have read and are familiar with the Guidelines. By submitting Subscriber Content, you also: (1) represent and warrant to DRM that you have obtained all necessary consents, releases, authorizations and/or permissions to transmit Subscriber Content; (2) represent and warrant that the Subscriber Content is free of any claims of proprietary or personal rights; (3) agree that you are solely responsible for all Subscriber Content that you submit to your dermatologist and DRM; and (4) agree that such Subscriber Content is original with you and accurate and that you own all right, title and interest in the Subscriber Content and any elements you include in the Subscriber Content, such as photographs, audio messages and the like; and (5) grant to DRM and its affiliated entities a right to use, reproduce, modify, adapt, distribute, transmit such User Content (in whole or part) for medical diagnosis and/or medical consultation between peers without compensation, notification, approval or any other obligation, to anyone, including yourself.

You will not have any claim against DRM with respect to any use or non-use of Subscriber Content, and to the extent, a claim is made against DRM or any of affiliated entities by any third party with respect to Subscriber Content, you agree to indemnify and hold DRM and its affiliated entities harmless with respect to any such claims, including, without limitation, attorneys' costs and expenses incurred in connection therewith.

Responsibility for Subscriber Content: You acknowledge further that DRM is not responsible for the accuracy of any Subscriber Content transmitted to the dermatologist. You understand and agree that all Subscriber Content is the sole responsibility of the person with whom the Subscriber Content originated. You understand and agree that you will evaluate, and bear all risks associated with, the use of any Subscriber Content, including any reliance on the accuracy, completeness, or usefulness of such Subscriber Content.

You acknowledge and agree that, beyond providing and facilitating AcneTRAC, DRM has no control over or oversight of, and will not participate or otherwise be involved in, your dealings with any dermatologist regarding medical matters, prescriptions, and treatment plans. Any outside communications, transactions or other dealings that you may have or enter into with any dermatologist are solely between you and such other user.

Violations of the Guidelines: If you violate the Guidelines, DRM's staff or designees may contact you individually. Your actions may result in a warning, suspension, or permanent banning from the use of AcneTRAC. DRM does not publicly discuss or announce warnings, suspensions, or loss of access. The decision to restrict access is made at the dermatologist's discretion and is the result of the dermatologist's sole judgment of a user's demonstrated inability or disinclination to follow the Guidelines. DRM reserves the right to restrict access to AcneTRAC and the Website from any user at any time for any reason, with or without warning.

DRM's Rights: DRM and its designees have the right (but not the obligation) in their sole discretion to edit, or remove any Subscriber at any time, even where such

Subscriber was approved in the past.

DRM reserves the right, in its sole discretion, to refuse access to AcneTRAC by any user for any reason. Without limiting the foregoing, DRM and its designees will have the right to terminate any Subscriber that violates the Guidelines or that DRM considers, in its sole discretion, objectionable, whether for legal or for other reasons. You understand that the technical processing and transmission of AcneTRAC, including your Subscriber Content, may involve transmissions over various networks and require changes to conform and adapt to technical requirements of connecting networks or devices. You acknowledge and agree that DRM may preserve Subscriber Content and may also disclose Subscriber Content if required to do so by law or in the good faith belief that such preservation or disclosure is reasonably necessary to: (a) comply with legal process; (b) enforce these guidelines; (c) respond to claims that any Subscriber Content violates the rights of third parties; or (d) protect the rights, property, or personal safety of DRM, the Website, its users (dermatologists), and the public. Details regarding our use of personally identifiable information included in Subscriber Content are set forth in our Privacy Policy.

Discontinuation: DRM reserves the right at any time to discontinue, temporarily or permanently, the acceptance of Subscriber Content and/or your ability to transmit Subscriber Content with or without notice, in its sole discretion. You agree that DRM shall not be liable to you or to any third party for any suspension or discontinuance of AcneTRAC.

Storage of User Content

You agree that DRM may establish, in its sole discretion and without prior notice to you, a maximum amount of storage space for Subscriber Content maintained, disseminated, or transmitted through AcneTRAC. You agree that DRM has no responsibility or liability for the deletion of or failure to store any messages, communications, or other Subscriber Content maintained, disseminated, or transmitted through AcneTRAC.

Protection of Intellectual Property Rights and License

You acknowledge that all other content available through the Website, including, without limitation, content in the form of text, graphics, software, music, sound, photographs, and videos, and content provided by suppliers, sponsors or third-party advertisers (the "Other Content"), is protected by copyrights, trademarks, patents, or other proprietary rights and laws.

Except as expressly authorized by DRM herein, you agree not to copy, modify, rent, lease, loan, sell, assign, distribute, license, reverse engineer, or create derivative works based on the Website or any Other Content (including, without limitation, any software) available through the Website.

You are hereby granted a nonexclusive, nontransferable, revocable, limited license to view, copy, print and distribute Other Content retrieved from the Website for your personal, noncommercial purposes, provided that you do not remove or obscure the copyright notice or other notices displayed on the Other Content. Notice and Procedure for Making Claims of Copyright Infringement

Pursuant to the Digital Millennium Copyright Act, 17 U.S.C. sec. 512, DRM has designated an agent to receive notices of claimed copyright infringement. If you believe in good faith that your work has been copied in a way that constitutes copyright infringement, please provide DRM's Copyright Agent the following information:

1. An electronic or physical signature of the person authorized to act on behalf of the owner of the copyright interest;
2. A description of the copyrighted work that you claim has been infringed;
3. A description of where the material that you claim is infringing is located on the Website;
4. Your address, telephone number, and e-mail address;
5. A statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; and

Modification or Suspension of the Website

You agree that DRM may, in its sole discretion, and at any time, modify, discontinue, or suspend its operation of this Website, or any part thereof, temporarily or permanently, without notice to you, and you agree that DRM will not be liable for the consequences of doing so.

Termination

Either party may terminate the Agreement for any or no cause, at any time, by notice, which shall be effective immediately or as specified in the notice. If you terminate the Agreement, you will no longer have access to the member portions of the Website. In addition, you agree that DRM may, in its sole discretion, and at any time, terminate your use of AcneTRAC, and may remove or delete any or all of your Subscriber Content, without prior notice to you for any reason that DRM, in its sole discretion, deems appropriate. You further agree that DRM will not be liable to you or to any third party for the consequences of any termination of your use of or access to AcneTRAC. In the event of any termination of your use of or access to AcneTRAC, you agree that the provisions of the Agreement regarding Protection of Intellectual Property Rights and License, Trademark Notices, Indemnification, Disclaimer or Warranties, Limitations of Liability, and Applicable Law shall survive any such termination.

Severability of Agreement

If any provision of the Agreement is found by a court or other binding authority to be invalid, you agree that every attempt shall be made to give effect to the parties' intentions as reflected in that provision, and the remaining provisions contained in the Agreement shall continue in full force and effect.

Limitation of Actions Brought Against DRM

You agree that any claim or cause of action arising out of your use of the Website, AcneTRAC or the Agreement must be filed within one year after such claim or cause of action arose or it shall forever be barred, notwithstanding any statute of limitations or other law to the contrary.

Trademark Notices

AcneTRAC is a trademark of Direct Response Medicine LLC or its affiliates. All other trade-marks and service marks displayed on the Website are the property of DRM or its affiliates. You may not use or display any trade-marks or service marks owned by DRM or its affiliates without our prior written consent. You may not use or display any other trade-marks or service marks displayed on this Website without the permission of their owners.

Applicable Law

The Agreement and the resolution of any dispute related to the Agreement, the Website, or items you purchase through the Website shall be governed by and construed in accordance with the laws of California, without giving effect to any principles of conflicts of law. Any legal action or proceeding between DRM and you related to the Agreement shall be brought exclusively in a federal or state court of competent jurisdiction sitting in Riverside County, California, and you agree to submit to the personal and exclusive jurisdiction of such courts.
